Yonkr provides its website and related services ("Services") to you subject to the following User Agreement ("Agreement"), which may be updated from time to time without notice to you. Your continued use of the Yonkr Services after any such changes constitutes your acceptance of the new terms.
The Services are offered to you conditioned on your acceptance without modification of this agreement and all revisions thereof.

You will receive a password and an account name when completing the Services' registration process. . You are entirely responsible for maintaining the confidentiality of your password and account. You hereby agree to indemnify Yonkr from all claims and expenses, including reasonable attorney's fees, which claims are based on or arise from your violation of any of the provisions of this Agreement.
You agree to notify Yonkr immediately of any unauthorized use of your account or any other breach of security.

It is Yonkr's policy to respect the privacy of its members. Yonkr will not monitor, edit, or disclose any personal information about you or your use of the Services, including its contents, without your prior permission unless Yonkr has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of Yonkr; (3) enforce this Agreement; or (4) act to protect the interests of its members or others. Your account name and Internet Protocol address is being recorded once you login the system successfully.
You agree that Yonkr may access your account, including its contents, as stated above or to respond to your Services requirements.
By accepting this Agreement, you expressly consent to Yonkr's disclosure and use of your personal information (including using email to communicate with you) as described in the privacy policy, which is incorporated here as part of Agreement.

As a condition of your use of the Service, you warrant to Yonkr that you will not use the Service for any purpose that is unlawful or prohibited by this agreement.
The Services is provided to individuals only and for personal use only. Any unauthorized commercial use of the Services, or the resale of its services, is expressly prohibited.
You agree to abide by all applicable local, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account or password, including the content that you upload, download, post, transmit through the Services. By way of example, and not as a limitation, you agree not to:

♦  Attempt to gain unauthorized access to the Services, other accounts, computer systems or networks connected to the Services, through password mining or any other means. Violate any applicable laws or regulations including and without limitation, laws regarding the transmission of technical data or software.
♦  Interfere with another user's use and enjoyment of the Services.
Yonkr has no obligation to monitor the Service or any user's use thereof or retain the content of any user session. However, Yonkr reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.
You understand that the technical processing and operation of the Services, including your uploading, may involve (1) transmissions over various networks; and (2) changes to conform and adapt to technical requirements of connection networks or devices.

The links included within the Services may let you leave the service web sites. The linked sites are not under the control of Yonkr and Yonkr is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. Yonkr is not responsible for webcasting or any other form of transmission received from any linked site. Yonkr is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Yonkr of the site or any association with their operators.

You acknowledge that content, including but not limited to text, software, music, sound, photographs, video, graphics or other material presented to you by the Services, by Yonkr, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You may make a copy of this content for your personal use only, provided that you keep all copyright and other proprietary notices intact. You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way content available through the Services and its associated Web sites, including code and software.
You retain all ownership rights to your Content. However, by submitting Content to Yonkr, you grant Yonkr a perpetual, worldwide, non-exclusive license to use, reproduce, distribute, and display your Content in accordance with our non-exclusive license agreement.
The intellectual property rights in or relating to the content of any notes, messages, e-mails, postings, letters, ideas, suggestions, concepts or other written materials which you submit or communicate to Yonkr (excluding the Content) will automatically be deemed to be assigned, granted and transferred by you to Yonkr upon their submission or communication to Yonkr, and you agree that the same will automatically become the property of Yonkr and that Yonkr shall be entitled to use, exploit, copy, publish, implement, transfer and in all other ways deal with such materials and all of the intellectual property rights therein in any way and for any purpose Yonkr may elect, forever.

You represent and warrant that you are the owner of the content which you submit and that the content does not infringe upon the property rights, intellectual property rights (copyrights and trademarks) or other rights of others. You also represent that there are no outstanding disputes in connection with the property rights, intellectual property rights or other rights in the content or any parts of the content.

You agree to indemnify and hold Yonkr, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the Services.

You agree that under no circumstances including, without limitation, its own negligence, shall Yonkr or its parents, subsidiaries, officers, employees, affiliates, directors, agents, suppliers, or any other party involved in creating, producing, transmitting, or distributing Yonkr or related Services be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses. In any event, by accepting this Agreement you specifically agree that we and our suppliers shall not be liable to you for more than $500. You also specifically agree that you shall not hold Yonkr liable for claims, demands, or damages of any kind or nature arising out of or in any way connected with a dispute with any other user of Yonkr.

You agree that Yonkr, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Services, and remove and discard any content you may have contributed to the Web site, at any time for any reason or no reason. You agree that any termination of your access to the Web site under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that Yonkr may immediately deactivate or delete your account and all related information and files in your account. Further, you agree that Yonkr shall not be liable to you or any third-party for any termination of your access to the Web site.

Prices for services and deliverables on Yonkr are described on our Web site and are incorporated into this Agreement by reference. All prices are in US dollars. Prices, services and deliverables may change at Yonkr's discretion.
There're bilingual specialists and local service providers as Yonkr's members. In case you contract direct with them, the price and pricing are part of your agreement with them.

Title and risk of loss for all Products or Services deliverables ordered by you shall pass to you on Yonkr's shipment to the shipping carrier.

The information, services, products, and materials included in or available through the Web site are provided on an "as is" and "as available" basis, and may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Yonkr may make improvements and/or changes in the Service at any time.You understand and agree that your use of the Web site is at your sole risk.
To the fullest extent permissible pursuant to applicable law, Yonkr and its affiliates expressly disclaim all warranties of any kind whether expressed or implied, including but not limited to any warranties of title, or implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Yonkr does not make any warranty that (1) the Web site or its content will meet your requirements, or (2) that the Web site or services will be uninterrupted, timely, secure, or error free, or (3) the quality of any products, services, information, or other material purchased or obtained by you through the Web site will meet your expectations, or (4) that defects, if any, will be corrected. You agree that Yonkr shall have no responsibility for any damages suffered by you in connection with the site or any content contained therein including but not limited to loss of data from delays, nondeliveries of content or email, errors, system down time, misdeliveries of content or email, network or system outages, file corruption, or service interruptions caused by the negligence of Yonkr, its affiliates, its licensors, or a user's own errors and/or omissions.
You acknowledge that Yonkr does not control in any respect any information, products, or services offered by third parties on or through the Services. Except as otherwise agreed in writing, Yonkr and its affiliates assume no responsibility for and make no warranty or representation as to the accuracy, currency, completeness, reliability or usefulness of content or products distributed or made available by third parties through this site.
No advice or information, whether oral or written, obtained by you from Yonkr or through or from the Web site shall create any warranty not expressly stated in the Agreement.

This Agreement, our privacy policy (which is part of this agreement) and any terms and conditions of specific Services constitute the entire agreement, and supersede any other agreements or understandings (oral or written), between you and us with respect to their subject matters. We can amend this agreement either by emailing you about the amended terms, which take effect when we send you the email, or by displaying amended terms to you when you log in to Yonkr, which take effect when we post them. Otherwise, this agreement may be amended only by a writing physically signed by both us and you.

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without resort to its conflict of law provisions. Any dispute with regard to this Agreement shall be submitted to one arbitrator for arbitration in Beijing Arbitration Commission in accordance with the Arbitration Rules of the Beijing Arbitration Commission then in effect. The award rendered by the arbitrator shall be binding as between the parties and judgment on such award shall be entered in any court having jurisdiction thereof. The Arbitrator may award attorney's fees and costs to the prevailing party.
No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement. Yonkr may assign its rights and responsibilities hereunder without notice to you.
Our failure to act in a particular circumstance does not waive our right to act with respect to that or other circumstances. We shall be excused for any problem due to a factor beyond our control. Our suppliers are third-party beneficiaries of this Agreement.
